Legal Status: Binding Agreement

These Terms and Conditions of Membership and Use govern your relationship with the Global Sustainability Consortium (GSC) and constitute a legally binding agreement between you and GSC. Please read them carefully before using our Services.

Important Notice

By accessing the website, applying for membership, or using any GSC Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

Legal Agreement

1. ACCEPTANCE OF TERMS

Agreement

By accessing the website GSConsortium.org (the "Site"), applying for membership, logging into the member portal, or using any services, platforms, tools, events, or content provided by the Global Sustainability Consortium ("GSC," "we," "us," or "our") (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms").

Entity Representation

If you are entering into these Terms on behalf of a company, organization, or other legal entity ("Entity"), you represent that you have the authority to bind that Entity, its affiliates, and its representatives to these Terms. In such a case, "you" and "your" will refer to that Entity and its authorized users.

2. DEFINITIONS

Interpretation

For the purposes of these Terms, the following definitions apply:

"Consortium"

The Global Sustainability Consortium (GSC), its Secretariat, and its operational entities.

"Member" / "Membership"

An Entity or Individual that has successfully applied, been accepted, and is in good standing under a specific membership tier (Core, General, Associate, Professional).

"Member Portal"

The secure, password-protected section of the Site providing access to exclusive tools and content.

"Member Content"

Any data, information, reports, case studies, messages, or materials uploaded, submitted, or posted by a Member to any GSC Service.

"GSC Content"

All intellectual property provided by the Consortium, including but not limited to the Benchmarking Dashboard, research libraries, certifications, reports, logos, and website content.

"Seal of Participation"

The official digital badge and membership credentials provided to Members.

"Governing Board"

The elected body responsible for the strategic direction of the GSC.

"Secretariat"

The operational arm of the GSC, managed by BeeHive Consultants Pvt. Ltd. or its appointed successors.

3. MEMBERSHIP

Obligations

3.1. Membership Tiers and Fees

Membership is offered in four primary tiers: Core Member, General Member, Associate Member, and Professional Member, each with specific eligibility criteria, benefits, and annual fees as published on the Site.

Fees are non-refundable, payable in advance, and subject to change with 60 days' written notice to current Members.

3.2. Application and Admission

Submission of an application does not guarantee admission. The GSC Secretariat reserves the right to accept or reject any application at its sole discretion.

Upon acceptance, the Member agrees to pay the applicable fee and abide by these Terms, the Code of Conduct, and all published policies.

3.3. Membership Rights and Benefits

Benefits are tier-specific and described on the Site. The GSC reserves the right to modify benefits with reasonable notice.

Access to tools like the SDG & ESG Benchmarking Dashboard, Carbon Footprint Calculator, Innovation Lab, and Secured Member Directory is granted solely for the Member's internal business use.

The GSC Seal of Participation and membership badges may be used in accordance with separate brand guidelines but must not be used to imply GSC endorsement of a Member's products or services.

3.4. Term and Termination

Membership is annual and automatically renews unless cancelled in writing at least 30 days prior to the renewal date.

Grounds for Termination

The GSC may suspend or terminate a Membership immediately for: (a) non-payment; (b) material breach of these Terms; (c) conduct damaging to the reputation or interests of the Consortium.

Upon termination, all access rights cease, and the Member must cease using the GSC Seal and destroy any confidential information.

4. USER ACCOUNTS AND SECURITY

Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify the Secretariat immediately of any unauthorized use.

Account Security Responsibility

All activities conducted through your account are deemed to be performed by you. Keep your credentials secure and do not share them with unauthorized persons.

5. INTELLECTUAL PROPERTY RIGHTS

IP Rights

5.1. Ownership by GSC

The GSC retains all right, title, and interest in and to the GSC Content, the Services, and all associated intellectual property. Membership grants a limited, non-exclusive, non-transferable, revocable license to use the GSC Content as per your membership benefits.

5.2. Member Content

By submitting Member Content, you grant the GSC a worldwide, perpetual, royalty-free license to use, host, store, reproduce, modify, and create derivative works (such as aggregated, anonymized data for the Annual Impact Report) for the purposes of operating and promoting the Consortium.

You represent that you own or have the necessary rights to all Member Content you submit and that it does not infringe any third-party rights.

5.3. Collaborative Outputs

Intellectual property developed jointly by Members within Working Committees or Co-Innovation Labs ("Foreground IP") will be governed by a separate Project Agreement. In the absence thereof, such Foreground IP will be owned jointly by the participating Members, with each granted a non-exclusive license to use the results.

6. CODE OF CONDUCT & USE OF SERVICES

Conduct

Members and users agree to:

Use the Secured Member Directory and networking functions professionally and not for unsolicited commercial spam.

Not upload content that is unlawful, defamatory, confidential (of a third party), or malicious.

Not reverse engineer, scrape, or misuse any GSC tool or platform.

Comply with all applicable laws and regulations in their use of the Services.

7. DATA PRIVACY AND CONFIDENTIALITY

Privacy

Our collection and use of personal data is governed by our Privacy Policy.

Confidentiality Obligation

Members may receive confidential information from the GSC or other Members. They agree to hold such information in confidence and use it only for Consortium-related purposes.

8. DISCLAIMERS AND LIMITATION OF LIABILITY

Liability

8.1. "As-Is" Basis

The Services and GSC Content are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. The GSC does not warrant the accuracy, completeness, or usefulness of benchmark data, research, or advice.

8.2. No Endorsement

No Endorsement Disclaimer

The GSC does not endorse, guarantee, or assume responsibility for any Member, its products, services, or Member Content. All collaborations between Members are undertaken at their own risk.

8.3. Limitation of Liability

To the maximum extent permitted by law, the GSC, its Governing Board, Advisory Board, and Secretariat shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Services or membership.

Liability Cap

Our total aggregate liability shall not exceed the annual membership fee paid by you for the current year.

9. INDEMNIFICATION

Protection

You agree to indemnify, defend, and hold harmless the GSC and its affiliates, officers, and agents from any claims, damages, or losses arising from your breach of these Terms, your Member Content, or your use of the Services.

10. GOVERNING LAW AND DISPUTE RESOLUTION

Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Finally by binding arbitration under the Arbitration Rules of the London Court of International Arbitration (LCIA)

11. GENERAL PROVISIONS

General

Modification of Terms

We may modify these Terms at any time. Continued use after changes constitutes acceptance.

Force Majeure

We are not liable for failure to perform due to causes beyond our reasonable control.

Severability

If any provision is found invalid, the remainder of the Terms remains in effect.

Entire Agreement

These Terms, with the Privacy Policy and Code of Conduct, constitute the entire agreement between you and the GSC.
